PEYMENT OF THE GOODS (White refined cane sugar #5)

One of the following mode of payment should be chosen by the buyer and be agreed with the seller.

Mode 1 :

The payment of the goods white refined cane sugar #5 can be executed under the from of an irrevocable,divisible,confirmed and transferable bank guarantee(BG)issued by the buyer in the favor of the Seller with the face value representing the whole amount of the sing purchase sugar contract.

Mode 2 :

The payment of the goods (white refined cane sugar #5)can be executed under the form of an irrevocable,divisible,confirmed and transferable documentary leter of credit (LC)issued by the buyer in the favor of the Seller,with the face value representing the amonunt corresponding to the quantity of goods to be delivered according to the conditions of the signed purchase sugar contract.

A revolving standby letter of credit (SLC) is also accepted.

A red clause for maximum 30% (in the LC or SLC) can be accepted.

To guarantee the delveries,a performance bond of maximum 2% of the face value of the LC or SLC will be issued by the Seller to the favor of the buyer.

N.B.: 1.The chosen mode of payment by the buyer should be spicified on the LOI(Letter of intent)and on the BLC(bank capability letter)

2. All the bank instruments (BG,LC or SLC) should be irrevocable,divisible,transferable and issued by a top Europen or world bank,

PROCEDURE TO PURCAHE WHITE REFINED SUGAR #5

1-Seller issues FCO(Full Corporate Offer).Both parties agree that e-mail copies and phone conversation are legally binding and enforceable.

2-Buyer issues LOI (Letter intent)

3-Seller sends contract draft to the buyer,

4-Buyer sings after agrement with the Seller signs the contarct and returns it signed and selaed via e-mail.

5-Seller and Buyer Exchange hard copies of the contract later(according to mutual agreement)

6-Within 2(two) banking days after the contract is signed the buyyer issues a BCL(Bank capability leter)to the seller(The BCL should confirm the capability of the Buyer to pay fort he quantity of goods mentioned on the LOI)

7-Eithin 2(two) banking days after receiving the BCL from the buyer,the Seller issues to the Buyer a prof of product.

8-Not later than one banking day after the Proof of product is issued to the Buyer,the Seller and Buyer Exchange bank communication channels and transaction codes.

9-Not later than one banking day after the Exchange of the bank instrument(BG,LC or SLC)to the Seller as per the terms of the sugar purchase contract signed between the Parties,and the Sellers bank confirms readiness to issue Performance bond to the Buyer.

10-The Sellers bank issues a non-operative Performance bond with a face value of maximum 2% of the value of future banks instrument(BG,LC,SLC)

11-The Buyers bank opens operative sonfirmed,irrevocable,divisible and transferable bank instrument (BG,LC or SLC)as per the contract trems activating automatically the Sellers performance bond.

12-Delivery  commences according to the contract terms.
